The significant program features for AAHSA's Directors' and Officers' liability program include:
  • Claims-made form
  • Entity coverage
  • Duty to defend form
  • Automatic coverage for nonprofit subsidiaries classified as 501(c)(3)
  • Wrongful act defined to include: discrimination, wrongful termination, sexual harassment
  • Spousal liability coverage
  • Non-cancelable except for nonpayment of premium

Optional coverages (subject to underwriting review) include:

  • Entity coverage for for-profit subsidiaries
  • Outside directorship liability
  • Fiduciary liability (ERISA) coverage

The following lists the basic eligibility criteria for the program:

  • Nonprofit care, housing and services for the elderly
  • Coverage available in all states
  • Claims-made form

Please consider the following new business submission requirements:

  1. Preferably 30 days lead time
  2. AAHSA D&O Application
  3. Most recent audited financial statement or IRS 990 form
  4. Bylaws
  5. List of all directors
  6. Employment Handbook
  7. Workplace Harassment Policy
